Partner Terms and Conditions

These Partner Terms and Conditions ("Partner Terms") govern the relationship between Acumatica Partner Directory ("we," "us," or "our") and the Acumatica implementation partners ("Partners" or "you") who are listed in our directory. These Partner Terms are in addition to our general Terms of Service and Privacy Policy.

By applying for inclusion in our directory, submitting partner information, or maintaining a partner listing, you agree to be bound by these Partner Terms.

Eligibility Requirements

To be eligible for inclusion in the Acumatica Partner Directory, you must meet and maintain the following criteria:

• Be an official Acumatica partner with valid certification from Acumatica, Inc.
• Have completed at least two (2) Acumatica implementations
• Employ at least one (1) Acumatica-certified consultant on staff
• Maintain active business operations for at least one (1) year
• Agree to these Partner Terms and our general Terms of Service
• Maintain accurate and up-to-date information in your partner profile

We reserve the right to verify your eligibility at any time and may request documentation or other evidence to confirm your status as an Acumatica partner.

Application Process

To apply for inclusion in the Acumatica Partner Directory, you must complete the following steps:

1. Submit an initial application with your company information and partnership details
2. Undergo our verification process, during which we confirm your Acumatica partnership status and implementation experience
3. Upon approval, create and customize your partner profile
4. Submit your completed profile for final review before publication

We reserve the right to reject any application that does not meet our eligibility requirements or that contains false, misleading, or inappropriate information.

Partner Information

You are solely responsible for the accuracy, completeness, and appropriateness of all information, content, and materials you submit for your partner profile. This includes, but is not limited to:

• Company name, logo, and contact information
• Company description and service offerings
• Office locations and service areas
• Specializations and industry expertise
• Case studies, testimonials, and implementation examples
• Team member profiles and certification information

You represent and warrant that all information provided is truthful, accurate, and not misleading. You agree to promptly update your profile information if any changes occur.

Content Standards

All content submitted for your partner profile must comply with the following standards:

• Must not infringe upon or violate any intellectual property rights
• Must not contain false, defamatory, misleading, or deceptive statements
• Must not include offensive, inappropriate, or discriminatory content
• Must not make unsubstantiated claims about performance or results
• Must not disparage competitors or other Acumatica partners
• Must not violate any applicable laws, regulations, or industry standards

We reserve the right to reject or remove any content that, in our sole discretion, violates these standards or is otherwise objectionable.

License to Content

By submitting content for your partner profile, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the Acumatica Partner Directory and our related marketing efforts.

You represent and warrant that you have all necessary rights, permissions, and consents to grant this license and that the content does not infringe upon the rights of any third party.

Client Inquiries

The Acumatica Partner Directory facilitates connections between potential clients and Acumatica implementation partners. As a listed partner, you may receive inquiries from potential clients through our platform.

You agree to:

• Respond to all client inquiries in a timely, professional manner
• Provide accurate information about your services and capabilities
• Honor any commitments or representations made in response to inquiries
• Treat all client information as confidential and use it only for the purpose of responding to the specific inquiry

We do not guarantee any minimum number of inquiries or business opportunities through our platform.

Partner Relationship

Your inclusion in the Acumatica Partner Directory does not create any agency, partnership, joint venture, employment, or franchisee relationship between you and us. You are and will remain an independent contractor in your relationship with us.

You are not authorized to make any commitments or representations on our behalf or to bind us in any way. You will not represent yourself as an agent, representative, or affiliate of Acumatica Partner Directory beyond your listing in our directory.

Fees and Payment

The basic listing in the Acumatica Partner Directory is provided at no cost to eligible Acumatica partners. However, we may offer premium placement, enhanced features, or additional promotional opportunities for a fee.

If you choose to purchase premium services:

• All fees are due in advance and are non-refundable
• You agree to provide accurate billing information
• You authorize us to charge the payment method provided for all applicable fees
• We reserve the right to change our fee structure upon reasonable notice

Failure to pay any applicable fees may result in the suspension or termination of premium features.

Term and Termination

Your listing in the Acumatica Partner Directory will remain active as long as you meet our eligibility requirements and comply with these Partner Terms.

We may terminate or suspend your listing at any time, without prior notice, for any reason, including but not limited to:

• Violation of these Partner Terms or our general Terms of Service
• Loss of Acumatica partner status or certification
• Receiving substantiated complaints from clients
• Providing false or misleading information
• Engaging in unethical or unprofessional business practices
• Inactivity or failure to maintain your partner profile

You may request to have your listing removed at any time by contacting us in writing.

Verification and Reviews

We verify Acumatica partnership status annually. You agree to cooperate with our verification process and to provide any requested documentation or information promptly.

The Acumatica Partner Directory may include a review and rating system allowing clients to share their experiences with listed partners. You acknowledge that:

• We do not guarantee positive reviews or ratings
• We do not alter or remove legitimate reviews based solely on their negative nature
• We may remove reviews that violate our content standards or that we believe to be fraudulent
• You will not attempt to manipulate reviews through fake accounts, incentives, or other improper means

Indemnification

You agree to defend, indemnify, and hold harmless Acumatica Partner Directory, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Partner Terms
• Any content submitted for your partner profile
• Your interactions with clients found through our platform
• Your implementation services or business practices

Limitation of Liability

IN NO EVENT WILL WE, OUR AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR PARTNER LISTING, YOUR USE OF THE ACUMATICA PARTNER DIRECTORY, OR ANY BUSINESS TRANSACTIONS RESULTING FROM YOUR LISTING.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Modifications to Partner Terms

We reserve the right to modify these Partner Terms at any time. All changes are effective immediately when posted and apply to all partner listings thereafter. By continuing to maintain your partner listing after the posting of revised Partner Terms, you accept and agree to the changes.

It is your responsibility to review these Partner Terms periodically for changes. We will provide notice of material changes by updating the "Last Updated" date at the top of these Partner Terms and may provide additional notice as appropriate.
